1. Definitions

In this Agreement, unless the context otherwise requires, the following expressions have the following meanings:

1.2 'Supplier' means STSPC Ltd whose office is at: 101 Westend Street, Oldham, Greater Manchester OL9 6AL. Registered in England and Wales No. 12787971.
1.3 'Goods' means the goods or services supplied by STSPC Ltd.
1.4 'Customer' means the person or company who purchases or agrees to purchase goods or services from STSPC Ltd.
1.5 All orders placed under the name of an entity engaged in economic activity, irrespective of its legal form will be deemed a b2b transaction.

2. General

2.1 These terms and conditions of sale apply to all goods and services supplied by the Supplier. Additional terms may apply.
2.2 No contract exists between the Customer and the Supplier for the sale of any goods or services until the Supplier has received and accepted your order and the Supplier has received payment in full (in cleared funds). Once the Supplier does so, there is a binding legal contract between us.
2.3 An acknowledgement of your order will be sent to you via e-mail when you place your order, but acceptance of your offer to buy the Goods will not take place until after your payment is taken and you receive your confirmation of payment. It is at this point that a binding legal contract is created and any contract is subject to these Terms and Conditions.
2.4 The Supplier may change these terms and conditions of sale without notice to you in relation to future sales.
2.5 The contract is subject to your right of cancellation (9).
2.6 The Supplier reserves the right the decline any order for any reason.

3. Description of the goods/services

3.1 The description and price of the goods you order will be as shown on the Supplier's website at the time you place your order.
3.2 The goods are subject to availability. If on receipt of your order the goods you have ordered are not available in stock, the Supplier will inform you as soon as possible.
3.3 Products, Software, Licenses, Subscriptions and Services may be subject to additional Terms and Conditions or usage limitations.

4. Price of the Goods

4.1 Every effort is made to ensure that prices shown on the Supplier's website are accurate at the time you place your order. If an error is found, the Supplier will inform you as soon as possible and offer you the option of reconfirming your order at the correct price or cancelling your order. If the Supplier does not receive an order confirmation within 7 days of informing you of the error, the order will be cancelled, and you will be notified by email. If you cancel your order prior to despatch, the Supplier will refund or re-credit you for any sum that has been paid by you or debited from your credit/debit card for the goods.

4.2 In addition to the price, you may be required to pay;
4.2.1 Delivery charges
4.2.2 Value Added Tax and any other taxes
4.3 Quotes are valid for the period shown in the quotation provided. If no validity period is stipulated, it is deemed to be 7 days from the quotation date. STSPC Ltd may withdraw or vary the price during this period if:

(a) there are any changes in the price of the goods;
(b) there are any variations in costs to STSPC Ltd associated with supply of the goods or services;
(c) the buyer breaches the conditions set out in our terms and conditions.

5. Payment

5.1 Payment for the goods and delivery charges can be made by any method shown on the Supplier's website at the time you place your order.
5.2 Payment shall be due before the delivery date.
5.3 There will be no delivery until cleared funds are received.
5.4 We do not accept payment via Cheque. In the event of an unauthorised payment via cheque, the payment shall not be deemed cleared funds until 6 months after deposit.

6. Delivery


6.1 Time for delivery shall not be of the essence.
6.2 The goods you order will be delivered to the delivery/shipping address given when you place your order.
6.3 If delivery cannot be made to your delivery/shipping address for reasons under the Supplier's control, the Supplier will inform you as soon as possible and refund or re-credit you for any sum that has been paid by you or debited from your credit card for delivery.
6.4 If you deliberately fail to take delivery of the goods when delivery is attempted, then the Supplier may:

6.4.1 store the goods until actual delivery and charge you for reasonable costs of storage; or
6.4.2 sell the goods at the best readily obtainable price and (after deducting all reasonable storage and selling expenses) credit to you for any excess over the price you agreed to pay for the goods or charge you for any shortfall below the price you agreed to pay for the goods.
6.5 If you fail to take delivery because you have cancelled your contract, the Supplier shall refund or re-credit you within 30 days any sum that has been paid by you or debited from your credit card for the goods less any expenses incurred for failed delivery.
6.6 Every effort will be made to deliver the goods as soon as possible after your order has been accepted. However, the Supplier will not be liable for any loss or damage suffered by you through reasonable or unavoidable delays in delivery.
6.7 The goods may be delivered by the Supplier in advance of the quoted delivery date.
6.8 Upon receipt of your order you will be asked to sign for the goods received in good condition. If for any reason you are unable to check the contents of the package at time of delivery, please sign for the parcel as "UNCHECKED". Failure to do so may affect any warranty claims that you make thereafter.

7. Risk/Title


7.1 The goods are at your risk from the time of delivery
7.2 Ownership of the goods shall not pass from the Supplier to you until the Supplier has received in full (in cash or cleared funds) all sums due to it in respect of:


7.2.1 the goods, and
7.2.2 all other sums which are or which become due to the Supplier from you on any account.
7.3 The Supplier shall be entitled to recover payment for the goods notwithstanding that ownership of any of the goods has not passed from the Supplier.

8. Title for Business Customers


8.1 If you are a business customer until ownership of the goods has passed to you, you must:
8.1.1 store the goods (at no cost to the Supplier) separately from all your other goods and goods of any third party in such a way that they remain readily identifiable as the Supplier's property;
8.1.2 not destroy, damage, deface or obscure any identifying mark or packaging on or relating to the goods; maintain the goods in satisfactory condition and keep them insured on the Supplier's behalf for their full price against all risks to the reasonable satisfaction of the Supplier; and
8.1.3 hold the proceeds of the insurance referred to in condition
8.1.4 on trust for the Supplier and pay the proceeds of the insurance to the Supplier within 5 working days of receipt of the proceeds.
8.2 If you are a business customer your right to possession of the goods shall terminate immediately if:

8.2.1 you have a bankruptcy order made against you or make an arrangement or composition with your creditors, or otherwise take the benefit of any statutory provision for the time being in force for the relief of insolvent debtors, or (being a body corporate) convene a meeting of creditors (whether formal or informal), or enter into liquidation (whether voluntary or compulsory) except a solvent voluntary liquidation for the purpose only of reconstruction or amalgamation, or have a receiver and/or manager, administrator or administrative receiver appointed of its undertaking or any part thereof, or a resolution is passed or a petition presented to any court for your winding up or for the granting of an administration order in respect of you, or any proceedings are commenced relating to your insolvency or possible insolvency; or
8.2.2 you suffer or allow any execution, whether legal or equitable, to be levied on your property or obtained against you or you are unable to pay your debts within the meaning of section 123 of the Insolvency Act 1986 or you cease to trade; or 8.2.3 you encumber or in any way charge any of the goods.

9. Your right of cancellation

9.1 You have the right to cancel the contract at any time up to the end of 14 working days after you receive the goods.
9.2 To exercise your right of cancellation, you must give written notice to the Supplier by letter or via email, giving details of the goods ordered and any order reference. Notification by phone is not sufficient.
9.3 If you exercise your right of cancellation after the goods have been delivered to you, you will be responsible for returning the goods to the Supplier at your own cost. The goods must be returned to the address above (1.2) or the address given on your Returns RMA form. You must take reasonable care to ensure the goods are not damaged in the meantime or in transit.
9.4 Once you have notified the Supplier that you are cancelling the contract, the Supplier will refund or re-credit you within 20 days from receipt of the returned goods for any sum that has been paid by you or debited from your credit card for the goods.
9.5 If you do not return the goods as required, the Supplier may charge you a sum not exceeding the direct costs of recovering the goods.
9.6 The Supplier may not be able to offer a full product refund for items returned that are not in a suitable condition.

10. Warranty

10.1 All goods supplied by the Supplier are warranted free from defects for 6 months from the date of supply (unless otherwise stated). This warranty does not affect your statutory rights as a consumer.
10.2 This warranty does not apply to any defect in the goods arising from fair wear and tear, wilful damage, accident, negligence by you or any third party, use otherwise than as recommended by the Supplier, failure to follow the Supplier's instructions, or any alteration or repair carried out without the Supplier's approval.
10.3 If the goods supplied to you are damaged on delivery, you should notify the Supplier in writing via the email address shown on the invoice below within 48 hours.
10.4 If the goods supplied to you develop a defect while under warranty or you have any other complaint about the goods, you should notify the Supplier in writing via the email address or fax number shown below, as soon as possible, but in any event within 7 days of the date you discovered or ought to have discovered the damage, defect or complaint.

11. Limitation of Liability

11.1 Subject to 11.1.4 below, if you are a consumer the Supplier shall not be liable to you for any loss or damage in circumstances where:
11.1.1 there is no breach of a legal duty owed to you by the Supplier or by its employees or agents;
11.1.2 such loss or damage is not a reasonably foreseeable result of any such breach;
11.1.3 any increase in loss or damage resulting from breach by you of any term of this contract.
11.1.4 Nothing in these conditions excludes or limits the liability of the Supplier for death or personal injury caused by the Supplier´s negligence or fraudulent misrepresentation.
11.2 If you are a business customer the Supplier shall not be liable to you for any indirect or consequential loss or damage (whether for loss of profit, loss of business, depletion of goodwill or otherwise), costs, expenses or other claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with this agreement.
11.3 Nothing in these Terms and Conditions shall exclude the Suppliers liability for personal injury or death caused by its negligence.

12. Images

12.1 All drawings, illustrations, product images are for illustrative purposes only may differ to the actual product.
12.2 Drawings, illustrations, product images or other technical documents issued either before or after the conclusion of the agreement for the use or information of the customer shall not be copied, reproduced or communicated to any third party without the Suppliers prior written consent.

13. Data Protection

13.1 The Supplier will take all reasonable precautions to keep the details of your order and payment secure. The Supplier will not be liable for unauthorised access to information supplied by you.

14. Applicable Law

14.1 These terms of sale and the supply of the goods will be subject to English law and the English courts will have jurisdiction in respect of any dispute arising from the contract.

15. Our Right of Cancellation

15.1 If for reasons beyond our reasonable control, including but not limited to an inability or failure on the part of the manufacturers or suppliers of the goods to supply the goods to us, we are unable to supply the goods to you, we may cancel the agreement at any time before the goods are delivered by giving notice to you (For Services see 15.2). We shall promptly repay to you any sums paid by you or on your behalf under or in relation the agreement. We shall not be liable for any other loss or damage whatever arising from such cancellation.
15.2 We reserve the right to cancel any services without giving notice. In the event of cancellation, if the service is a paid for service, we will repay the balance of any remaining un-used service charges proportionate to the remaining un-used term. We shall not be liable for any other loss or damage whatever arising from such cancellation.

Privacy Policy

Introduction

STS PC needs to gather and use certain information about individuals. These can include customers, suppliers, business contacts, employees and other people the organisation has a relationship with or may need to contact.

This policy describes how this personal data must be collected, handled and stored to meet the company’s data protection standards and to comply with the law.

Why this policy exists

This data protection policy ensures STS PC:

  •     Complies with data protection law and follow good practice
  •     Protects the rights of staff, customers and partners
  •     Is open about how it stores and processes individuals’ data
  •     Protects itself from the risks of a data breach

Data protection law

The General Data Protection Regulations describes how organisations including STS PC must collect, handle and store personal information.

These rules apply regardless of whether data is stored electronically, on paper or on other materials.

To comply with the law, personal information must be collected and used fairly, stored safely and not disclosed unlawfully.

The General Data Protection Regulations are underpinned by eight important principles. These say that personal data must:

  1. Be processed fairly and lawfully
  2. Be obtained only for specific, lawful purposes
  3. Be adequate, relevant and not excessive
  4. Be accurate and kept up to date
  5. Not be held for any longer than necessary
  6. Processed in accordance with the rights of data subjects
  7. Be protected in appropriate ways
  8. Not be transferred outside the European Economic Area (EEA), unless that country or territory also ensures an adequate level of protection

People, risks and responsibilities

This policy applies to: 

  • All branches of STS PC
  •  All staff of STS PC
  • All contractors, suppliers and other people working on behalf of STS PC
  • It applies to all data that the company holds relating to identifiable individuals, even if that information technically falls outside of the Data Protection Act 1998.

This can include:

  1. Names of individuals
  2. Postal addresses
  3. Email addresses
  4. Telephone numbers
  5. IP address
  6. Referrer
  7. Browsers user-agent

Data protection risks

This policy helps to protect STS PC from some very real data security risks, including:

  • Breaches of confidentiality. For instance, information being given out inappropriately.
  • Failing to offer choice. For instance, all individuals should be free to choose how the company uses data relating to them.

Responsibilities

Everyone who works for or with STS PC has some responsibility for ensuring data is collected, stored and handled appropriately.

Each team that handles personal data must ensure that it is handled and processed in line with this policy and data protection principles.

However, these people have key areas of responsibility:

  • The board of directors is ultimately responsible for ensuring that STS PC meets its legal obligations.
  • The data protection officer is responsible for keeping the board updated about data protection responsibilities, risks and issues.
  • Reviewing all data protection procedures and related policies, in line with an agreed schedule.
  • Arranging data protection training and advice for the people covered by this policy.
  • Handling data protection questions from staff and anyone else covered by this policy.
  • Dealing with requests from individuals to see the data STS PC holdsabout them (also called ‘subject access requests’).
  • Checking and approving any contracts or agreements with third parties that may handle the company’s sensitive data.
  • The IT manager is responsible for:
    • Ensuring all systems, services and equipment used for storing data meet acceptable security standards.
    • Performing regular checks and scans to ensure security hardware and software is functioning properly.
    • Evaluating any third-party services the company is considering using to store or process data. For instance, cloud computing services.
  • The marketing manager is responsible for:
    • Approving any data protection statements attached to communications such as emails and letters.
    • Addressing any data protection queries from journalists or media outlets like newspapers.
    • Where necessary, working with other staff to ensure marketing initiatives abide by data protection principles.
  • The only people able to access data covered by this policy should be those who need it for their work.
  • Data should not be shared informally.
  • STS PC will provide training to all employees to help them understand their responsibilities when handling data.
  • Employees should keep all data secure, by taking sensible precautions and following the guidelines below.
  • Personal data should not be disclosed to unauthorised people, either within the company or externally.
  • Data should be regularly reviewed and updated if it is found to be out of date. If no longer required, it should be deleted and disposed of.

Data storage

These rules describe how and where data should be safely stored. Questions about storing data safely can be directed to the IT manager or data controller.

When data is stored on paper, it should be kept in a secure place where unauthorised people cannot see it.

These guidelines also apply to data that is usually stored electronically but has been printed out for some reason:

  • When not required, the paper or files should be kept in a locked drawer or filing cabinet.
  • Employees should make sure paper and printouts are not left where unauthorised people could see them, like on a printer.
  • Data printouts should be shredded and disposed of securely when no longer required.
  • When data is stored electronically, it must be protected from unauthorised access, accidental deletion and malicious hacking attempts.
  • If data is stored on removable media (like a CD or DVD), these should be kept locked away securely when not being used.
  • Data should only be stored on designated drives and servers, and should only be uploaded to an approved cloud computing services.
  • Data should be backed up frequently. Those backups should be tested regularly, in line with the company’s standard backup procedures.
  • Data should never be saved directly to laptops or other mobile devices like tablets or smart phones without approve encryption.
  • All servers and computers containing data should be protected by approved security software and a firewall.

Personal data is of no value to STS PC unless the business can make use of it. However, it is when personal data is accessed and used that it can be at the greatest risk of loss, corruption or theft:

  • Personal data should not be shared informally.
  • Data must be encrypted before being transferred electronically.
  • Personal data should never be transferred outside of the European
  • Economic Area, unless that country or territory also ensures an adequate level of protection.
  • Always access and update the central copy of any data.
  • Data will only be used by STS PC and not shared without consent.

Data accuracy

The law requires STS PC to take reasonable steps to ensure data is kept accurate and up to date.

The more important it is that the personal data is accurate, the greater the effort. STS PC should put into ensuring its accuracy. It is the responsibility of all employees who work with data to take reasonable steps to ensure it is kept as accurate and up to date as possible.

  • Data will be held in as few places as necessary. Staff should not create any unnecessary additional data sets.
  • Staff should take every opportunity to ensure data is updated. For instance, by confirming a customer’s details when they call.
  • STS PC will make it easy for data subjects to update the information STS PC holds about them. For instance, via the company website.
  • Data should be updated as inaccuracies are discovered. For instance, if a customer can no longer be reached on their stored telephone number, it should be removed from the database.
  • It is the marketing manager’s responsibility to ensure marketing databases are checked against industry suppression files every six months.

Subject access requests

All individuals who are the subject of personal data held by STS PC are entitled to:

  • Ask what information the company holds about them and why.
  • Ask how to gain access to it.
  • Be informed how to keep it up to date.
  • Be informed how the company is meeting its data protection obligations.

If an individual contacts the company requesting this information, this is called a subject access request.

Subject access requests from individuals should be made by email, addressed to the

data controller at support @ stspc . co . uk. The data controller can supply a standard request form, although individuals do not have to use this.

Individuals will be charged £10 per subject access request. The data controller will aim to provide the relevant data within 30 days.

The data controller will always verify the identity of anyone making a subject access request before handing over any information.

Disclosing data for other reasons

In certain circumstances, the Data Protection Act allows personal data to be disclosed to law enforcement agencies without the consent of the data subject.

Under these circumstances, STS PC will disclose requested data. However, the data controller will ensure the request is legitimate, seeking assistance from the board and from the company’s legal advisers where necessary.

Providing information

STS PC aims to ensure that individuals are aware that their data is being processed, and that they understand:

  • How the data is being used
  • How to exercise their rights
