Terms of Service

1. Definitions

In this Agreement, unless the context otherwise requires, the following expressions have the following meanings:

1.2 “Supplier” means STSPC Ltd whose office is at: 101 West End Street, Oldham, Greater Manchester OL9 6AL. Registered in England and Wales No. 12787971.
1.3 “Goods” means the goods or services supplied by STSPC Ltd.
1.4 “Customer” means the person or company who purchases or agrees to purchase goods or services from STSPC Ltd.
1.5 All orders placed under the name of an entity engaged in economic activity, irrespective of its legal form, will be deemed a B2B transaction.

2. General

2.1 These terms and conditions of sale apply to all goods and services supplied by the Supplier. Additional terms may apply.
2.2 No contract exists between the Customer and the Supplier for the sale of any goods or services until the Supplier has received and accepted your order and the Supplier has received payment in full (in cleared funds). Once the Supplier does so, there is a binding legal contract between us.
2.3 An acknowledgement of your order will be sent to you via email when you place your order, but acceptance of your offer to buy the Goods will not take place until after your payment is taken and you receive your confirmation of payment. It is at this point that a binding legal contract is created and any contract is subject to these Terms and Conditions.
2.4 The Supplier may change these terms and conditions of sale without notice to you in relation to future sales.
2.5 The contract is subject to your right of cancellation (clause 9).
2.6 The Supplier reserves the right to decline any order for any reason.

3. Description of the goods/services

3.1 The description and price of the goods you order will be as shown on the Supplier’s website at the time you place your order.
3.2 The goods are subject to availability. If on receipt of your order the goods you have ordered are not available in stock, the Supplier will inform you as soon as possible.
3.3 Products, software, licences, subscriptions and services may be subject to additional Terms and Conditions or usage limitations.

4. Price of the Goods

4.1 Every effort is made to ensure that prices shown on the Supplier’s website are accurate at the time you place your order. If an error is found, the Supplier will inform you as soon as possible and offer you the option of reconfirming your order at the correct price or cancelling your order. If the Supplier does not receive an order confirmation within 7 days of informing you of the error, the order will be cancelled, and you will be notified by email. If you cancel your order prior to despatch, the Supplier will refund or re-credit you for any sum that has been paid by you or debited from your credit/debit card for the goods.

4.2 In addition to the price, you may be required to pay:

  • 4.2.1 Delivery charges
  • 4.2.2 Value Added Tax and any other taxes

4.3 Quotes are valid for the period shown in the quotation provided. If no validity period is stipulated, it is deemed to be 7 days from the quotation date. STSPC Ltd may withdraw or vary the price during this period if: (a) there are any changes in the price of the goods; (b) there are any variations in costs to STSPC Ltd associated with supply of the goods or services; (c) the buyer breaches the conditions set out in our terms and conditions.

5. Payment

5.1 Payment for goods, IT support agreements, and any associated service charges must be made using the payment methods outlined on the issued invoice or as specified in the support/maintenance contract, where applicable.
5.2 Payment shall be due on the date specified in the maintenance or support contract, or on the invoice where a contract date is not provided.
5.3 No goods will be delivered, and no IT support services will commence, until cleared funds are received.
5.4 We do not accept payment via cheque. In the event of an unauthorised payment via cheque, the payment shall not be deemed received until cleared funds are credited to our nominated bank account.

6. Delivery

6.1 The Supplier will use its reasonable endeavours to dispatch goods on the date agreed but does not guarantee any specific delivery date.
6.2 The Customer is responsible for providing accurate delivery details. The Supplier accepts no liability for goods delivered to an incorrect address provided by the Customer.
6.3 Risk in the goods shall pass to the Customer upon delivery.

7. Risk/Title

7.1 The goods are at your risk from the time of delivery.
7.2 Ownership of the goods shall not pass to you until we have received payment in full of all sums due in respect of the goods, including delivery charges.

8. Title for Business Customers

8.1 If you are a business customer, until ownership of the goods has passed to you, you must hold the goods on a fiduciary basis as the Supplier’s bailee, store the goods separately from any other goods so that they remain readily identifiable as the Supplier’s property, and not destroy, deface or obscure any identifying mark or packaging on or relating to the goods.

9. Your right of cancellation

9.1 Where the Customer is a consumer (and not a business), the Customer has the right to cancel the contract at any time up to 14 days after the day on which the Customer receives the goods, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
9.2 To exercise the right of cancellation, the Customer must inform the Supplier in writing (email is acceptable) at support@stspc.co.uk.
9.3 Bespoke or specially-ordered goods, software licences and downloadable content are not eligible for cancellation once supplied.

10. Warranty

10.1 All goods are supplied with the manufacturer’s standard warranty. STSPC Ltd does not extend any warranty beyond that of the manufacturer.
10.2 Services supplied by STSPC Ltd are warranted to be performed with reasonable care and skill in accordance with industry standards.

11. Limitation of Liability

11.1 Nothing in these terms shall limit or exclude the Supplier’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
11.2 Subject to clause 11.1, the Supplier’s total liability under or in connection with the contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the price paid by the Customer for the goods or services giving rise to the claim.
11.3 The Supplier shall not be liable to the Customer for any indirect, special or consequential loss, including loss of profit, loss of business, loss of data or loss of opportunity.

12. Images

Images of products on the Supplier’s website are for illustrative purposes only. Actual products may vary slightly in colour, packaging or specification.

13. Data Protection

The Supplier is committed to protecting your personal information in accordance with the General Data Protection Regulation (GDPR) and the Data Protection Act 2018. For full details of how we collect, use and store personal data, please see our Privacy Policy.

14. Applicable Law

These terms and conditions and any contract between the Supplier and the Customer shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Our Right of Cancellation

15.1 If for reasons beyond our reasonable control, including but not limited to an inability or failure on the part of the manufacturers or suppliers of the goods to supply the goods to us, we are unable to supply the goods to you, we may cancel the agreement at any time before the goods are delivered by giving notice to you (for services see 15.2). We shall promptly repay to you any sums paid by you or on your behalf under or in relation to the agreement. We shall not be liable for any other loss or damage whatever arising from such cancellation.
15.2 We reserve the right to cancel any services without giving notice. In the event of cancellation, if the service is a paid-for service, we will repay the balance of any remaining unused service charges proportionate to the remaining unused term. We shall not be liable for any other loss or damage whatever arising from such cancellation.
